These Terms of Service ("Terms") govern your use of the website operated by Elshafeay Consultancy F.Z.C ("the Company," "we," "us") and any consulting or software services we agree to provide. By accessing this website or engaging our services, you agree to these Terms.

1. About the Company

Elshafeay Consultancy F.Z.C is a company registered in Ajman Free Zone, United Arab Emirates. We provide technology consultancy services including software systems design, backend engineering, cloud infrastructure, data and search infrastructure, database and performance consulting, and technical product development.

2. Services and Engagements

The specific scope, deliverables, fees, timelines, and payment terms for any engagement are defined in a separate written proposal, statement of work, or agreement ("Engagement Agreement"). Where an Engagement Agreement conflicts with these Terms, the Engagement Agreement governs for that engagement.

• Services are provided on a professional, good-faith basis.
• Estimates and timelines are planning tools and may change as requirements evolve.
• Any change to agreed scope may affect fees and timelines and will be confirmed in writing.

3. Fees and Payment

Fees, currency, billing schedule, and accepted payment methods are set out in the applicable Engagement Agreement. Unless otherwise stated, invoices are payable within the period specified on the invoice. Late or failed payments may result in suspension of work.

4. Client Responsibilities

• Provide timely access, information, and decisions needed to perform the work.
• Ensure you have the rights to any materials or systems you ask us to work on.
• Comply with applicable laws in your use of any deliverables.

5. Intellectual Property

Ownership of deliverables is defined in the Engagement Agreement. Unless agreed otherwise, the Company retains rights to its pre-existing tools, methods, and reusable components. Open-source components remain subject to their respective licenses.

6. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for the purpose of the engagement. This obligation continues after the engagement ends.

7. Warranties and Disclaimers

Services are provided with reasonable skill and care. Except as expressly stated in an Engagement Agreement, the website and services are provided "as is" without further warranties of any kind, to the maximum extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, or consequential losses. The Company's total liability for any engagement shall not exceed the fees paid for that engagement, unless a higher limit is agreed in writing.

9. Governing Law

These Terms are governed by the laws of the United Arab Emirates as applicable to companies registered in Ajman Free Zone, United Arab Emirates, without regard to conflict-of-law principles. Engagement Agreements may specify a governing law and dispute-resolution process.

10. Changes to these Terms

We may update these Terms from time to time. The current version is always available on this page, with the "Last updated" date above.
